Ascend Wellness is next in line for the reverse-split-to-uplist playbook

Add Ascend Wellness Holdings to the list of MSOs running the same play this year: shrink the share count so the stock price looks respectable enough for a real exchange. AWH filed its definitive proxy this week asking shareholders to approve a reverse split somewhere between 1-for-10 and 1-for-50, with the exact ratio left up to the board depending on where the stock is trading when they pull the trigger. The vote happens at a special meeting August 28, with anyone holding shares as of July 7 eligible to weigh in.

The math is blunt: AWH had roughly 203 million Class A shares outstanding as of July 7. A 1-for-10 split takes that down to about 20.3 million; go all the way to 1-for-50 and you're at 4 million. Either way, the goal is the same — get the per-share price high enough to clear listing standards on Nasdaq or NYSE American, the same threshold Trulieve and Curaleaf have been maneuvering around all year.

CEO Sam Brill called it "a necessary step on our path to a listing on a major U.S. exchange," which is corporate-speak for: we know the OTC market caps what kind of investor can even buy this stock, and we want in on the institutional money that a real listing unlocks. AWH runs vertically integrated operations across seven states — Illinois, Maryland, Massachusetts, Michigan, New Jersey, Ohio, and Pennsylvania — under brands like Ozone, Honor Roll, and Royale.

None of this guarantees anything. AWH's own filing admits there's no promise the split holds the price up or that an exchange actually approves the listing after all this. But watching three MSOs run the identical playbook inside of two months tells you something about where the industry thinks the ceiling is on OTC trading right now — and how badly everybody wants off it before the rescheduling decision actually lands.
